Introduction

Welcome to Antalyze's Terms and Conditions. Please read these terms carefully before using our "Services".

By accessing or using our "Services", you agree to be bound by these terms. If you don't agree with any part of these terms, you may not use our services.

If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind the organization to this Agreement. If you do not agree, you must not use the services.

Service Description

Antalyze provides a no-code platform for creating and deploying AI-driven bots for sales, customer support, and user engagement (the "Service"). Customers are responsible for the content and configurations ("User Submissions") added to the Service. Antalyze retains all rights to its platform, including templates, scripts, and documentation, collectively known as "Antalyze Materials."

Customer's Subscription

Subscriptions grant access to the Service for a specific period ("Subscription Period") as detailed in your order. The Service is intended for internal business purposes and must not be shared with third parties without authorization.

Restrictions

You agree not to misuse the Service, reverse engineer it, or use it in violation of any laws. You must ensure that users within your organization comply with these terms.

Financial Terms

Fees

Customers are required to pay for access to and use of the Service as detailed in the applicable order ("Fees"). All Fees will be charged in the currency stated in the order or, if no currency is specified, in U.S. dollars. Payment obligations are non-cancellable and, except as explicitly stated in this Agreement, Fees are non-refundable. Antalyze reserves the right to modify its Fees or introduce new fees at its discretion. Customers have the option not to renew their subscription if they disagree with any revised fees.

Payment

Antalyze, either directly or through its third-party payment processor ("Payment Processor"), will bill the customer for the Fees using the credit card or ACH payment information provided. Antalyze reserves the right to charge the customer's payment method for any services provided under the order, including recurring Fees. It is the customer's responsibility to ensure that Antalyze has current and accurate payment information. Failure to provide such information may lead to a suspension of Service access. Transactions processed by a Payment Processor are subject to its terms, conditions, and privacy policies.

Taxes

Fees do not include any taxes, levies, duties, or similar governmental assessments ("Taxes"). Customers are responsible for paying all Taxes associated with their purchases. If Antalyze is obligated to pay or collect Taxes for which the customer is responsible, it will invoice the customer for such Taxes unless a valid tax exemption certificate is provided in advance.

Failure to Pay

If a customer fails to pay any Fees when due, Antalyze may suspend access to the Service until overdue amounts are paid. Antalyze is authorized to attempt charging the customer's payment method multiple times if an initial charge is unsuccessful. If a customer believes they have been incorrectly billed, they must contact Antalyze within sixty (60) days of the first billing statement showing the error. Upon review, if the billed amounts are found to be due, the customer must pay these amounts within ten (10) days of receiving the decision.

Term and Termination

Agreement Term and Renewals

Subscriptions to access and use Antalyze's Service commence on the Subscription Start Date specified in the applicable order and continue for the duration of the Subscription Period. Customers may opt not to renew their subscription by notifying Antalyze at contact@antalyze.ai or by updating their account settings. This Agreement remains effective for the entire Subscription Period, including any renewals, and any period of Service usage—even if not under a paid order ("Term"). If terminated by either party, all orders will be automatically terminated. Upon cancellation or non-renewal of a paid subscription, the Customer's subscription will be downgraded to a Free Version of the Service. Access to the Free Version will be revoked if the Agreement is terminated or if the Customer deletes its workspace.

Termination

Either party may terminate this Agreement with written notice if the other materially breaches the terms and fails to cure such breach within thirty (30) days of notification. Additionally, Antalyze may terminate a Customer's access to the Free Version at any time upon notice.

Effect of Termination

If the Customer terminates this Agreement due to an uncured breach by Antalyze, Antalyze will refund any unused, prepaid Fees for the remaining Subscription Period. Conversely, if Antalyze terminates the Agreement due to an uncured breach by the Customer, the Customer must pay any unpaid Fees for the remaining Subscription Period following termination. Termination does not absolve the Customer of any fees accrued prior to the termination date. Upon termination, all rights and licenses granted by Antalyze cease immediately, and Service access is revoked. Within thirty (30) days of termination for cause, upon the Customer’s request or if the workspace is deleted, Antalyze will delete the Customer’s User Information, including passwords, files, and submissions. For Free Version users, some User Submissions and Information may be retained to facilitate continued use.

Data Protection

Antalyze implements industry-standard data protection measures, including encryption and access controls. Customers are responsible for securing their account credentials.

General Terms

This Agreement is governed by the laws of India, with disputes resolved in Una, Himachal Pradesh. Amendments must be in writing, and neither party may assign their rights without consent.

Intellectual Property

The "Services", including all software, algorithms, and technology, are protected by copyright and other intellectual property laws.

You agree not to modify, adapt, or create derivative works from our "Services" without our express written permission.

Antalyze's name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Antalyze.

Usage Guidelines

You agree to use our "Services" only for lawful purposes and in accordance with these Terms.

You must not use our "Services" in any way that could damage, disable, overburden, or impair our servers or networks.

Data Usage

By using our "Services", you grant us the right to collect and analyze data from your usage.

We don't claim ownership of your data. You retain all rights to your content.

Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our "Services" at any time.

Limitation of Liability

Antalyze won't be liable for any indirect, incidental, special, consequential, or punitive damages.

Changes to Terms

We may update these terms from time to time. We'll notify you of any material changes.
